STANDARD TERMS AND CONDITIONS

1.       The Company will provide the services specified in the contract from the commencement date on the terms and conditions hereunder.

2.       The contract shall remain in force until terminated by either party giving three calendar months` notice in writing or by prior mutual agreement.

3.       The contract constitutes the entire contract between the Company and the Customer and supersedes all previous agreements in respect of the specified services, terms and conditions.   No variation will be made until agreed by both parties in writing.

4.       The Company will invoice the Customer or provide a standing order mandate monthly in arrears.   The Customer shall pay the Company strictly within one calendar month of the date of invoice, interest may be charged on monies owed to the Company on failure to comply with the above terms.   The Company may vary the charges, normally annually, by giving one calendar month's notice in writing.

5.       The Company will not be liable for any loss or damage, injury or death, however caused or contributed to by any circumstances beyond the Company's control or by reason of strikes, lock outs, labour disputes or mechanical breakdown.

6.       The Company insures against most reasonably foreseeable risks, the policies are available at the Company's offices for inspection and the Customer shall be deemed to have full knowledge of the contents thereof whether inspected or not.   The Customer is responsible for insuring or otherwise providing against any liability not specifically covered by these policies.

7.       The Customer will take all reasonable steps to ensure the protection of their own premises.   In the case of mobile services it is understood the service is shared with other Customers and may be interrupted or delayed should the officer become involved in an incident on another Customer's premises.

8.       The Customer is responsible for ensuring that all provisions under the Health and Safety at Work Act and any similar or subordinate legislation are covered so far as they relate to the Company's personnel whilst on duty at the Customer's premises.

9.                If any Condition of Contract between the Company and Customer conflicts with Statute, then Statute will override the relevant Condition or part thereof.   If any dispute should arise English law will prevail.

•  All equipment and instruments supplied by the Company will remain the sole property of the Company.

11.             In the event that the customer engages a member of the company's staff on a direct employment basis, the customer will pay the company a recruitment fee of £1,500 or 15% of the annual salary whichever is greater.
